Terms of Service

By creating an account, subscribing to a plan, or using any feature of Shieldly AI ("the Platform"),
you ("Customer", "User") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf
an organisation, you represent that you have authority to bind that organisation.

Shieldly AI is a cloud-based security operations SaaS platform that provides: domain security monitoring, email security analysis, breach detection, vulnerability scanning, vendor risk assessment, compliance evidence management, and AI-powered security recommendations. The platform is operated by Flexitime Microsystems Ltd, a Nigerian registered company ("Shieldly AI", "we").

3.1 Plans

• Free (Audit): One domain, one-time scan. No payment required.
• Essentials: $12/month or $99/year. Up to 3 domains.
• Professional: $29/month or $249/year. Up to 10 domains, 3 seats.
• Enterprise: $79/month or $749/year. Unlimited domains, 10 seats, white-label, API access.

3.2 Payment Terms

• Monthly subscriptions are billed in advance on the same day each month. Annual subscriptions are billed upfront.
• Payments are processed via Paystack (Nigeria and international) or Stripe (EU/US Enterprise). All prices are in USD.
• Subscriptions auto-renew. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Refunds are available within 7 days of initial subscription or annual renewal, provided no more than 5 scans have been performed.



3.3 Taxes

• Prices exclude applicable taxes. Nigerian customers may be subject to VAT. You are responsible for any taxes imposed by your jurisdiction.

Your use of the Platform is subject to our Acceptable Use Policy (Policy 04). You must not use the Platform to scan domains you do not own or control, attempt to circumvent rate limits, reverse-engineer the platform, or use outputs to harm third parties.

Your data is stored in Supabase, a PostgreSQL database hosted in the EU (Frankfurt, Germany). We implement the following security measures:

• Shieldly AI retains all rights in the Platform, its software, algorithms, brand, and documentation.
• You retain all rights in your data (domains, findings, evidence files) submitted to the Platform.
• You grant Shieldly AI a limited licence to process your data solely to deliver the services you have subscribed to and to improve platform accuracy using anonymised, aggregated data.
• White-label reports (Enterprise) may carry your branding; Shieldly AI retains underlying IP.

We commit to the uptime levels defined in our Service Level Agreement (Policy 10). Scheduled maintenance will be communicated at least 48 hours in advance via the platform and email. Downtime caused by third-party infrastructure (Vercel, Supabase, Groq) is outside our direct control but we will communicate status promptly.

Your use of the Platform is also governed by our Privacy Policy and, for enterprise customers processing personal data on behalf of their users, our Data Processing Agreement.

Each party agrees to keep confidential any non-public information received from the other party and to use it only for the purpose of performing obligations under these Terms. This obligation survives termination for 3 years.

RShieldly AI warrants that the Platform will perform materially as described in our documentation. We do not warrant that: (a) the Platform will be error-free or uninterrupted; (b) scan results will identify every vulnerability or breach; or (c) AI-generated recommendations are legally sufficient for regulatory compliance.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIELDLY AI'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Flexitime Microsystems processes personal data of EEA residents in accordance with the EU General Data Protection Regulation (GDPR). Our legal bases for processing are:

You agree to indemnify and hold harmless Shieldly AI and its officers from any claim arising from: (a) your violation of these Terms; (b) your violation of applicable law; or (c) your use of the Platform to scan domains you do not have authorisation to scan.

• You may cancel your subscription at any time from your account settings.
• We may suspend or terminate your account immediately for: material breach of these Terms, non-payment after 7-day grace period, or violation of the Acceptable Use Policy.
• Upon termination, your data will be retained for 90 days and then securely deleted per Policy 07.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall first be referred to mediation at the Abuja Multi-Door Courthouse. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Mediation Act 2023 (Nigeria).

We may amend these Terms with 30 days' written notice via email. Continued use after the effective date constitutes acceptance. If you do not accept the amended Terms, you may cancel your subscription without penalty before the effective date.
